Confirmed by Square Enix Community Manager Mike Oldman, Just Cause 2 is incompatible with DirectX 9. Here are the system requirements, shamelessly cut and paste from Steam's Just Cause 2 page:

Developers are finally leaving the aging OS behind in favor of Windows 7 (and Vista, as much as someone is capable of being in favor of Vista). It has had a good run, and was reliable beyond what almost anyone was expecting, but XP is tired and wants to rest. It's time to move on.

Windows 7 = that new hotness, and it compatible with plenty more hardware than Vista, AND there's an XP mode.  Whats not to like?

Serious PC gamers should have moved on LONG ago.
