^^ The phenom II 940 is an AM2+ processor, if you are interested check your motherboard spec to see if it supports Phenom II 125Watt processors. Some mobo manufacturers like MSI have bios upgrades to run the AM2+ Phenom II processors.

Instead of going through all the hassle to sell CPU and/or motherboard, wouldn't it have been easier to just sell whatever DDR2 RAM you have and get some DDR3?
That board/CPU is a killer combo as is. I say keep both and sell your RAM.
If the board supported AM2/AM2+ processors I would have done exactly that.
